1. Agreement to Terms
These Terms and Conditions (“Terms” or “Agreement”) constitute a legally binding agreement between you (whether individually or representing a commercial entity, “User”, “Client”, or “you”) and the AION corporate group, consisting of:
- Tremendous Holding Ltd, incorporated under the laws of Singapore (UEN 202318492K);
- PT AION Carbon Asset (AION PT PMA), incorporated under the laws of the Republic of Indonesia (NIB 1204000392819);
- Tremendous Pty Ltd, incorporated under the laws of the Commonwealth of Australia (ACN 668 192 481);
together referred to as “AION”, “we”, “us”, or “our”. By accessing our websites, digital calculators, project documentation, or entering into advisory engagements, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of our platforms and services.
2. Defined Terms
Throughout these Terms, capitalized terminology carries the following exact meanings:
- “Carbon Instrument”: A uniquely serialized electronic certificate representing one metric tonne of carbon dioxide equivalent (tCO2e) reduced, sequestered, or avoided, issued by an accredited Third Party Standard.
- “CO2e” (Carbon Dioxide Equivalent): The universal measurement unit used to compare the emissions from various greenhouse gases on the basis of their global warming potential (GWP), aligned with IPCC guidelines.
- “Emission Rights”: Any statutory, regulatory, or voluntary entitlement, allowance, or quota to emit greenhouse gases created under sovereign or international legal regimes.
- “Emissions Reduction Project”: An operational land use, energy, or technological initiative that produces audited GHG abatement or removals under an approved methodology.
- “ESG Claim”: Any public statement, corporate disclosure, marketing claim, or regulatory filing made by you regarding net zero status, carbon neutrality, Scope 1-3 reductions, or sustainable procurement.
- “Offset Advisory Services”: Professional consulting, portfolio assembly, feasibility analyses, and the procurement and registry retirement of Carbon Instruments facilitated by AION.
- “Retirement”: The permanent, irreversible transfer of a Carbon Instrument into a registry retirement or cancellation account, legally taking that credit out of commercial circulation so it cannot be resold or re-transacted.
- “Third Party Standard”: Recognized carbon accreditation bodies including Verra (Verified Carbon Standard), Gold Standard, Plan Vivo, the Indonesian National Registry System (SRN-PPI), and the Australian Clean Energy Regulator (ACCU Scheme).
3. Permitted Platform Use & Conduct
You agree to use our digital tools, reports, and calculators solely for lawful business purposes. You warrant that:
- All corporate and emissions data submitted for advisory evaluations is accurate, current, and verified by qualified internal officers.
- You will not reverse-engineer, scrape, copy, or redistribute AION’s proprietary carbon accounting algorithms, geospatial data layers, or project feasibility formulas without written authorization.
- You will not transmit malicious code, attempt unauthorized server penetration, or disrupt the operational integrity of our advisory platforms.
- Your use of our platforms adheres to all relevant anti-corruption, anti-bribery, and trade sanctions regimes in Singapore, Indonesia, Australia, the United Kingdom, and the United States.
4. Advisory Scope & Limitations
AION provides environmental strategy, technical carbon due diligence, and sustainability advisory services.
No Financial, Securities or Underwriting Advice
Carbon Instruments, environmental attributes, and Renewable Energy Certificates (RECs) transacted or reviewed are environmental commodities and contractual attributes. They do not constitute shares, debt securities, futures contracts, collective investment schemes, or regulated financial derivatives under the Securities and Futures Act (Singapore), the Indonesian Capital Market Law (UU Pasar Modal), or the Australian Corporations Act 2001 (Cth). AION does not offer speculative trading advice, tax structuring, or guaranteed investment yields.
5. Carbon Offset Advisory, Procurement & Irrevocable Retirements
Where AION assists in sourcing or retiring Carbon Instruments on your behalf:
- Registry Execution: Retirements are conducted directly within official registry systems (e.g. Verra Registry, Gold Standard Impact Registry, SRN-PPI, or ANREU for Australian Carbon Credit Units).
- Irrevocability: Once a Carbon Instrument has been retired in the specified beneficiary name, the action is permanent, final, and cannot be reversed, canceled, or refunded.
- No Beneficial Ownership Transfer for Resale: When credits are retired for an offsetting or neutralization claim, the Client acquires the sole environmental attribution claim. The Client does not acquire title to resell or re-trade retired units.
- Shortfall Mitigation: If an originated project suffers a force majeure event or delivery delay prior to registry issuance, AION will consult with the Client to substitute equivalent vintage units from pre-approved buffer pools or comparable accredited standards.
6. Intellectual Property & Proprietary Frameworks
All text, graphics, data models, topographic animations, brand identifiers, and analytical frameworks (including the AION 5-Step Carbon Quality Matrix, Net Zero Pathways, and Supplier Engagement Journey models) are the intellectual property of Tremendous Holding Ltd and protected by international copyright, trademark, and trade secret laws.
Clients receive a non-exclusive, non-transferable license to use deliverable advisory reports internally for board, auditor, and regulatory reporting purposes, provided all proprietary attribution notices remain intact.
7. Disclaimers of Warranty
To the maximum extent permitted by applicable law in Singapore, Indonesia, and Australia:
Our digital platforms, calculators, guides, and briefings are provided on an “AS IS” and “AS AVAILABLE” basis. AION disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we exercise rigorous care in compiling regulatory summaries and market metrics, we do not warrant that all sovereign regulatory guidelines (including Article 6 bilateral authorizations, Indonesian carbon tax timelines, or Australian Safeguard Mechanism adjustments) will remain unchanged over time.
8. Limitation of Liability
In no event shall AION, Tremendous Holding Ltd, PT AION Carbon Asset, Tremendous Pty Ltd, or their respective directors, officers, consultants, or employees be liable for:
- Any indirect, incidental, special, consequential, or punitive damages;
- Loss of corporate profits, business revenue, data, goodwill, or commercial opportunities;
- Regulatory fines or reputational damages arising from third-party audits of Client sustainability marketing or ESG disclosures.
Our aggregate liability arising out of or related to these Terms or any advisory engagement, whether in contract, tort (including negligence), or statutory duty, shall not exceed the total advisory fees paid by the Client to AION in the twelve (12) months preceding the incident giving rise to liability.
9. Client ESG Claims & Indemnification
The Client retains sole corporate responsibility for how it communicates its climate claims, greenhouse gas reductions, and carbon offset procurements to shareholders, consumer regulators, and the public.
You agree to indemnify, defend, and hold harmless AION and its affiliates from and against any third-party claims, regulatory enforcement actions, liabilities, and legal expenses arising from: (a) your breach of these Terms; (b) inaccurate baseline data provided by your organisation; or (c) misleading advertising, greenwashing allegations, or ESG claims published by you without verified third-party retirement documentation.
10. Confidentiality & Electronic Communications
All proprietary emissions data, supplier lists, and commercial terms exchanged between AION and the Client are held in strict confidence and shall not be disclosed to any third party without prior consent, except where required for registry issuance or compelled by legal authorities.
Electronic correspondence originating from AION domains is confidential. If an email is received in error, please notify the sender and immediately delete the message and attachments.
11. Governing Law & Dispute Resolution
These Terms and any non-contractual obligations arising out of them are governed by and construed in accordance with the laws of Singapore, unless an executed master services agreement explicitly designates the law of Australia (for Australian project contracts) or the Republic of Indonesia (for domestic Indonesian PT PMA contracts).
Dispute Resolution Hierarchy:
- Amicable Negotiations: The parties shall first attempt in good faith to resolve any commercial dispute through senior executive consultations within thirty (30) days of formal notice.
- Binding Arbitration: If the dispute is not settled through consultation, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator, and proceedings shall be conducted in the English language.
- For domestic Indonesian project matters directly contracted with PT AION Carbon Asset, disputes may alternatively be referred to the Indonesian National Board of Arbitration (BANI) in Jakarta, as stipulated in the relevant commercial contract.
- For domestic Australian engagements contracted with Tremendous Pty Ltd, disputes may be referred to the Australian Centre for International Commercial Arbitration (ACICA) in Sydney.
12. General Provisions
- Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be modified to reflect the parties’ original intent, and all remaining provisions will remain in full force.
- No Waiver: Failure by AION to enforce any right or provision shall not operate as a waiver of future enforcement of that or any other provision.
- Modifications: AION reserves the right to update these Terms periodically to reflect evolving carbon regulatory frameworks. Revised terms become effective upon publication on this website.
- Entire Agreement: These Terms, together with our Privacy Policy and any formally executed commercial agreements, constitute the entire understanding between you and AION.
